Master Software-as-a-Service agreement governing your use of Hivendly.
These Terms of Service ("Agreement" or "Terms") form a legally binding contract between SHARPEFY LTD (Company No. 16429418, registered in England and Wales) and any commercial entity, enterprise, sole trader, or independent merchant ("Client", "Merchant", "You") subscribing to and deploying e-commerce storefronts on the HIVENDLY Software-as-a-Service multi-tenant infrastructure.
SHARPEFY LTD operates under a transparent, merchant-centric software licensing model:
SHARPEFY LTD commits to enterprise-grade availability and infrastructure resilience:
Upon registration, merchants receive access to a 14-day free trial with full functional capability, without requiring upfront payment cards or automated renewal traps. Merchants are responsible for enforcing two-factor authentication (2FA) and safeguarding team administrative credentials.
Merchant Data Sovereignty: You retain absolute, perpetual ownership of all product catalogs, customer rosters, sales journals, and custom creative assets uploaded to your tenant database. Hivendly receives solely a limited technical hosting license to execute SaaS functionality.
Platform Ownership: All intellectual property rights, database partition designs, themes, and codebase remain the proprietary asset of SHARPEFY LTD.
Subscribers may terminate subscriptions at any time via the billing management dashboard, effective at the end of the paid cycle. Following termination, merchants enjoy a 30-day data extraction window to export CSV products and database records prior to permanent secure cryptographic deletion within 60 days.
To the maximum extent permitted under the Unfair Contract Terms Act 1977 and English law, SHARPEFY LTD shall not be liable for indirect, incidental, or consequential losses. Total cumulative contractual liability is strictly capped at the aggregate subscription fees paid by the client in the twelve (12) months preceding the claim.
All disputes shall be submitted to the exclusive jurisdiction of the Courts of England and Wales, following a mandatory 30-day amicable mediation period.
